When you are setting up your LLC or writing your Operating Agreement, you will eventually hit a question asking if you want to be “Member-Managed” or “Manager-Managed.”
It sounds technical, but it is really just asking one simple question: Who is allowed to sign the checks?
Here is a summary of the two options:
Member-Managed (The “Do it yourself” option)
Manager-Managed (The “Silent partner” option)
Which one should you choose?
Check your operating agreement. Even though pa doesn’t always ask for this on the public state forms, your internal paperwork needs to be clear. If you are the one doing the work, you are likely a member-manager.
